DRAFT - NOT IN FORCE - PENDING LEGAL REVIEW

This document is not in force. It has not been reviewed by a lawyer and it was not written by one. It is a first draft prepared in-house so counsel has something concrete to correct.

It must not be published, linked from the site footer, shown at checkout, or relied on by anyone. No contract has been formed with anybody on the basis of anything in it.

The provider is named: Leon Raath, trading as Sports Biometrix. Decided by Leon on 6 September 2026 (ruling R-FJ). A provider may be a named natural person trading under a name; it does not require a company to exist first, and incorporation may still follow. Naming the provider does not put these terms in force. No contract has been formed with anybody, and counsel has still not reviewed a word of this.

Related counsel questions: Q13 and Q14 (medical-device classification), Q35–Q37 (the consent record and who the counterparty is), Q40 (financial retention). None have been answered.

Controller / providerLeon Raath, trading as Sports Biometrix Named on 6 September 2026. A controller may be a named person trading under a name; a company may still follow, and because each consent records the party as it stood when it was given, a later company does not rewrite what anyone already agreed to. Naming the controller does not put these pages in force.

Draft version: 0.2 · Drafted 2026-08-11 · Revised 2026-09-03 · Drafted in-house (context-creator agent) Changed in 0.2 (2026-09-03, controller ruling R-CO): the non-disclosure promise in §9 now carries an exception for a verified scout the athlete has personally chosen to be visible to. That surface is not built — see §4.1 of the Privacy Notice — so the exception is presently empty.

0. The service is not open yetNot in force#

Sign-ups and subscriptions have been closed since 3 August 2026 by deliberate configuration, and the platform holds synthetic demonstration data only. Our public pages can be read, but no customer has been onboarded and nothing can be bought. These terms describe a service that is not yet open.

1. THE MOST IMPORTANT THING IN THIS DOCUMENTNot in force#

Sports Biometrix is not a medical device. It gives you no diagnosis, no medical clearance and no authorisation to return to play.

Read that again, because everything else in this agreement sits underneath it.

What that means in plain words:

  • Nothing on this platform tells you what is wrong with you. The platform does not identify or name a medical condition, and no output of it is a medical opinion.
  • A screening outcome is not permission to play. The pre-season screening produces an outcome computed by rule from the answers given. It is a summary of what was answered, for a qualified person to look at. It is not sign-off, not a fitness certificate, and not a decision that anyone may play or not play.
  • A flag is a prompt to ask a question, not an answer. A cardiac referral flag means the answers given match a pattern that a qualified clinician should look at. It does not say anything is wrong, and the absence of a flag does not say anything is right.
  • A return-to-play stage is a record, not an authorisation. The platform records where an athlete is in a return-to-play process. The decision that a person is fit to return is made by a qualified human being, outside this platform, and remains theirs.
  • A readiness score, a rating, a percentile, a weakness flag and a training prescription are information. They are computed from data that was entered. They do not know whether you slept badly, whether the measurement was taken properly, or whether you are unwell.
  • The AI assistant is not an adviser. It explains and proposes changes to a plan the rules engine already generated. It never writes a plan, never states a training dose, and every answer it gives carries a line saying it is guidance only.
  • This platform does not replace a doctor, a physiotherapist, or any other qualified professional. If you have symptoms, are unwell, or are hurt, seek proper medical care. Do not wait for, and do not rely on, anything this platform shows you.
  • In an emergency, call emergency services. Do not consult this platform.

You must not use any output of this platform as the basis for a clearance decision, a selection decision presented as a medical one, an insurance statement, or any document that asserts a person is medically fit.

2. Who these terms are betweenNot in force#

These terms are between Leon Raath, trading as Sports Biometrix ("we", "us") and the person or organisation who creates an account ("you").

Where you create an account on behalf of a club, panel, school or other organisation, you confirm you are authorised to bind it, and "you" means both you and that organisation.

3. What the service isNot in force#

A subscription web platform on which athletes and coaches can:

  • record sports-science test results across the test library and rate them against published reference tables;
  • track results over time and see change that is meaningful rather than noise;
  • complete a pre-season health screening questionnaire;
  • record daily wellness and monitoring, and see a computed readiness value;
  • record injuries, illnesses, concussion assessments and return-to-play progress;
  • plan and periodise a season, and receive training prescriptions generated from test results;
  • connect a wearable or import files;
  • and, on the tiers that include it, use an AI assistant to understand and adjust a generated plan.

4. What the service is notNot in force#

It is not a medical device (§1). It is not an electronic health record. It is not a coaching service, a testing service or a training programme delivered by us — we provide software, and the judgement belongs to the people using it. It is not a guarantee of any outcome, sporting or otherwise. It does not decide selection and holds no selection surface.

5. Accounts and eligibilityNot in force#

  1. You must be 16 or over to create an account. Signup is refused below 16, and the refusal cannot be evaded by registering as an adult and editing your date of birth downward.
  2. Under-16s. There is currently no route by which a person under 16 can be placed on this platform, and there will not be one until the guardian-consent process is built and the legal position is settled. A guardian who wants a child on the platform should contact us; today the answer is that it is not yet possible.
  3. One person, one account. You are responsible for keeping your password to yourself and for everything done under your login.
  4. Give us accurate information. Your date of birth and sex are not administrative details here — they select which reference table your results are rated against, and a wrong one produces a wrong rating.

6. Subscriptions, tiers and billingNot in force#

6.1 The families#

FamilyWho it is for
Individual — Basic, Advanced, ProA single athlete holding their own record
Coach — Basic, Advanced, ProOne coach with a roster of athletes, who may be competing in different sports or events rather than as one team
Club — Basic, Advanced, ProA club running multiple squads

Each rung carries its own limits — how many athletes, how many teams, how many sports on a profile — and its own set of capabilities. The limits and the price applying to you are those shown on the pricing page at the time you subscribe, and the pricing page shows the limits in the cell rather than revealing them at checkout.

Not everything is on sale. Where a tier or a feature is shown as unavailable or not yet offered, it cannot be bought, and nothing in these terms is a commitment that it will be.

6.2 Trial#

A 14-day trial starts when you sign up. No payment card is required. If you do not subscribe, it simply ends and nothing is charged. There is nothing to cancel.

6.3 Price, VAT and payment#

  1. Prices are in euro and are quoted exclusive of VAT. VAT is added at checkout at the rate that applies to you and appears on your invoice.
  2. Both monthly and annual billing are offered. Annual is billed in one payment for the year.
  3. Payment is processed by Stripe. We do not see, hold or store your card details at any point.
  4. Subscriptions renew automatically at the end of each period at the price then in force, unless you cancel first.
  5. We may change prices. A change never applies to a period you have already paid for, and we will tell you before a renewal at a new price.
  6. If a payment fails, we may suspend paid features after a reasonable attempt to collect. See §6.6 — some things are never suspended.

6.4 Cancelling, and the refund window#

You can cancel at any time, from your own account. Before you confirm anything, the platform shows you exactly what will happen, in your own currency and with your own dates.

Inside 14 days of your most recent payment, you choose one of two things, and they are genuinely different:

ChoiceWhat happens
Full refundWe refund the whole amount you paid, including the VAT you were charged — the actual figure from your invoice, not an estimate. Your access ends immediately, and you lose the remaining time on the period you had paid for. On an annual plan that can be up to 359 days. Because that cannot be undone, you must type a confirmation to proceed.
Keep my accessYour subscription does not renew, and you keep full access until the end of the period you already paid for. No refund.

Outside that 14-day window, only the second option is available: your subscription stops renewing, you keep access to the end of the period you paid for, and there is no refund.

If a refund is due it is requested at the moment you confirm and is issued by our payment provider, which normally reaches your card within 5–10 days. If you hear nothing after a few days, contact us.

If we cannot reach our payment provider at the moment you cancel, we will tell you so rather than guess. You can still cancel and keep your paid period, and your right to a refund is not affected.

6.5 Add-ons and limits#

Where a plan has an athlete limit, additional athlete slots may be purchased as an add-on at the price shown. Going over a limit does not silently charge you — the platform refuses the action and tells you which limit you have reached.

6.6 What is never behind the paywall#

Recording an injury, a concussion assessment or a daily wellness check-in is never gated on a subscription. A lapsed payment cannot suppress a safety record. This is deliberate and it is enforced in the software.

7. Acceptable useNot in force#

You must not:

  1. record data about a person who has not agreed to be on this platform, or who has withdrawn;
  2. use the platform to make or to present a medical decision (§1);
  3. present any output of the platform as a clearance, a certificate of fitness, or a medical opinion, to an athlete, a parent, a club, an insurer, a governing body or anyone else;
  4. share a login, or give access to anyone who is not entitled to it;
  5. attempt to reach data belonging to another account, probe or bypass access controls, or test the platform's security without our written agreement;
  6. scrape, bulk-extract or resell the test library, guides, drills, reference tables or any other content;
  7. upload anything unlawful, or anything containing another person's data that you have no right to provide;
  8. use the AI assistant to process data you should not be sending outside your own organisation. Whatever you type into it is sent to our model provider, which is in the United States — see the Privacy Notice.

We may suspend an account immediately where use of it puts another person's data at risk.

8. Coaches, clubs, and the athletes on your rosterNot in force#

This section carries most of the real obligation in this agreement.

  1. You are responsible for the athletes you invite. Inviting an athlete means you have a genuine relationship with them, and that they know who you are and what the platform is.
  2. You have your own duties. Where you are a club, a school or a governing-body unit, you have safeguarding, child-protection and data-protection obligations of your own. Nothing in this agreement moves them onto us or discharges them.
  3. You cannot consent for an athlete. The software refuses it: any save by a coach that carries an athlete's consent declarations is rejected outright with a message saying so. Consent declarations belong to the athlete and are signed and withdrawn on their own account.
  4. Consent is what gives you access — not your role. Being a coach grants nothing by itself. Reading an athlete's data requires that athlete's live consent, and it stops the moment they withdraw it. So does writing to their record.
  5. What you may see is limited by design. You see wellness and psychological scores and flags only, never the individual answers. That is enforced on the server. Do not try to obtain those answers by another route.
  6. What you record about someone must be accurate. Anything you enter on an athlete's record is labelled as coach-entered and is visible to them as such. If they tell you it is wrong, correct it.
  7. You must not use a health record to make a selection decision presented as a medical one. Selecting a squad is your call. Saying a player is medically unfit is not something this platform supports and not something you may attribute to it.
  8. Under-16s. Do not attempt to place a child under 16 on the platform. There is no route to do it, and if one becomes available it will require guardian consent, obtained through us.
  9. If you leave, or your subscription ends, the athletes' own records remain theirs. We do not hand a club a copy of an athlete's data on exit as a matter of course.

9. Your data, and oursNot in force#

  • The data about an athlete belongs to that athlete. Every athlete can download a complete copy of everything we hold about them and can erase their account and its contents at any time, without asking us or asking their coach.
  • We do not sell data. We do not disclose it to any third party for that party's own purposes, except to a verified scout you have personally chosen to make yourself visible to — and only the data that choice covers.
  • The test library is ours. The tests, guides, drills, batteries, reference-table curation, computations and the software itself remain our property. Your subscription is a licence to use it, not a transfer of it.
  • Your results are yours. We take no ownership of the data you record.
  • How we handle personal data is set out in the Privacy Notice, which forms part of this agreement. (The Privacy Notice is itself a draft pending legal review and does not yet exist in published form.)

10. AvailabilityNot in force#

We try to keep the service running and we do not promise that it always will be. There is no service-level commitment and no uptime figure in this agreement. We may take the platform down for maintenance, and we may suspend it entirely — as we have done for sign-ups and subscriptions since 3 August 2026 — where we judge that the right thing to do.

11. LiabilityNot in force#

  1. Nothing in this agreement limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.
  2. We are not liable for any decision made using this platform, including a decision that a person may or may not train, play, compete or return from injury. Those decisions belong to qualified humans (§1).
  3. We are not liable for data that was entered incorrectly, for a measurement taken badly, or for a rating produced from either.
  4. We are not liable for a third party's service — a wearable vendor's API, a payment provider, a hosting provider — beyond our own duties as a customer of theirs.
  5. Subject to (1), our total liability in any 12-month period is limited to the amount you paid us in that period. [FIGURE AND FORM TO BE CONFIRMED BY COUNSEL]
  6. Neither party is liable for indirect or consequential loss, loss of opportunity, or loss of selection.

12. Suspension and terminationNot in force#

  1. You can leave at any time — cancel under §6.4, and erase your account and its data whenever you want.
  2. We can suspend or end an account where these terms are breached, where a payment stays unresolved, or where continuing would put another person's data at risk. Where it is reasonable to do so we will tell you first and give you a chance to fix it.
  3. On termination, paid access ends per §6.4, and your data is dealt with under the Privacy Notice. Erasure remains available to an athlete regardless of who ended the subscription.
  4. We may withdraw the service entirely. If we do, we will give reasonable notice and a period in which to export.

13. Changes to these termsNot in force#

We may change these terms. We will tell you about a material change before it applies to you, and it will not change a period you have already paid for.

14. Law and jurisdictionNot in force#

[TO BE CONFIRMED BY COUNSEL] — expected to be the law of Ireland and the courts of Ireland, subject to any consumer protection that gives you a right you cannot be deprived of.

Appendix — what is not settled in this draftNot in force#

  1. The provider's legal identity — undetermined (Instruction Letter §5).
  2. Medical-device classification — unresolved (Q13, Q14). §1 is our position, not a determination.
  3. Section 11 (liability) — placeholder only; not drafted and not checked for enforceability against a consumer.
  4. Governing law and jurisdiction — placeholder.
  5. Consumer distance-selling rights — the 14-day refund window in §6.4 was designed to mirror the EU right of withdrawal for distance contracts. Whether it does so correctly, and whether the "access ends immediately" trade-off is lawful and fairly presented, has not been checked.
  6. Which tiers may actually be sold — some named rungs are not on sale, the Organisation tier is unbuilt, and pre-season screening is not available for purchase. §6.1 defers to the pricing page for exactly this reason.
  7. VAT treatment across borders — Stripe is configured to treat prices as VAT-exclusive; the registration and rate position has not been confirmed with an accountant.
  8. §9's statement that a club gets no copy of athlete data on exit — consistent with the current build, but the retention and athlete-mobility question is genuinely open (Q41).

Draft 0.2, revised 2026-09-03 (first drafted 2026-08-11). Prepared in-house. Not legal advice. Not in force. Do not publish.

Still a draft at the end of the page

Nothing above is in force. It has not been reviewed by external counsel and no one should rely on any of it. The controller is named, in the table at the top of this page, and naming the party did not lift the draft status. When these documents leave draft they will carry a version and a date, and they will not live at this address.
